What is a Syndication in Real Estate?
Real estate syndication is a way for investors to achieve the benefits of owning an investment property (including cash flow, appreciation, and tax breaks) without having to manage the property themselves. In a real estate syndication, a group of investors pools together their capital to jointly purchase a large real estate property. This allows investors to invest in larger, more valuable properties that would otherwise be out of reach for them individually. Investors become co-owners of the property when they pool their capital together in a syndication, making them responsible for the management and operation of that property. In a real estate syndication, there are two key players: the syndicator(s) and the passive investors. The syndicator(s) are also referred to as general partners (GPs) and are responsible for structuring and operating the real estate syndication. This includes underwriting the deal, completing due diligence, arranging financing, negotiating with the seller, building a business plan, finding investors, raising capital, working with the property management team, and handling investor relations.
The passive investors, on the other hand, provide a portion of the capital needed to acquire the property and receive ownership shares of the property in return. They earn passive income distributions from the property, and they receive a return on their investment upon selling it. Additionally, they also achieve equity pay down, appreciation, and real estate tax benefits.
